IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU HAVE ACTUALLY PAID TO THE COMPANY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). BECAUSE THE SITE IS FREE TO USE, THIS CAP MAY EFFECTIVELY BE $0.00.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

You agree to indemnify, defend, and hold harmless Long Financial Services, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any financial or other decisions you make in reliance on Site content.

10. Dispute Resolution and Arbitration

Arbitration Agreement

You and the Company agree to resolve any disputes through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted in Collin County, Texas, or via telephonic/video hearing by mutual agreement. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable, the arbitration agreement shall be null and void.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. To the extent any matter proceeds in court notwithstanding the arbitration agreement, you consent to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in our Privacy Policy, including our SMS communications practices.

12. Modifications to the Site and Terms

We reserve the right to modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We also reserve the right to update these Terms at any time. When we do, we will update the "Effective Date" at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Site and supersede all prior agreements, representations, and understandings.
